Care-Wizard, Boston Digital LLC, APPLICA Solutions, Home-Wizard, CARE-WIZARD, and Pet-Wizard ("CARE-WIZARD") may revise and update these Terms and Conditions at any time. Your continued usage of the CARE-WIZARD website ("CARE-WIZARD Site," or the "Site,") will mean you accept those changes.

CARE-WIZARD does not provide medical advice, diagnosis, or treatment. The contents of CARE-WIZARD has not been reviewed by the Federal Drug Administration.

The contents of the CARE-WIZARD Site, such as text, graphics, images, and other materials created by CARE-WIZARD or obtained from CARE-WIZARD's licensors, and other materials contained on the CARE-WIZARD Site (collectively, "Content") are for informational purposes only. The Content is not intended to be a substitute for professional medical advice, diagnosis, or treatment. If you violate any of these Terms and Conditions, your permission to use the Content automatically terminates and you must immediately destroy any copies you have made of any portion of the Content.

Child Privacy

We are committed to protecting the privacy of children. You should be aware that this Site is not intended or designed to attract children under the age of 13. We do not collect personally identifiable information from any person we actually know is a child under the age of 13.

Liability of CARE-WIZARD and Its Licensors

The use of the CARE-WIZARD Site and the Content is at your own risk.

Without limiting the foregoing, CARE-WIZARD, its licensors, and its suppliers make no representations or warranties about the following:

The accuracy, reliability, completeness, currentness, or timeliness of the Content, software, links, or communications provided on or through the use of the CARE-WIZARD Site or CARE-WIZARD. The satisfaction of any government regulations requiring disclosure of information on prescription drug products or the approval or compliance of any software tools with regard to the Content contained on the CARE-WIZARD Site.

CARE-WIZARD shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company’s personal information or material and information transmitted over our system. User Content

The personal information you submit to CARE-WIZARD is governed by the CARE-WIZARD Privacy Policy. To the extent there is an inconsistency between this Agreement and the CARE-WIZARD Privacy Policy, this Agreement shall govern.

Account Setup

You agree to provide true, accurate, current, and complete information when registering to use the Site and establishing an account ("Registration Information"). You agree to maintain and promptly update the Registration Information to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or Mayo Clinic has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Mayo Clinic may suspend or terminate your account. You agree that you are entirely responsible for maintaining the confidentiality of any passwords and any usage and activities that occur in connection with your account. You agree not to allow others to access your account or utilize your password. Doing so will compromise the security of your account.

Passwords

CARE-WIZARD has several tools that allow you to record and store information. You are responsible for taking all reasonable steps to ensure that no unauthorized person shall have access to your CARE-WIZARD passwords or accounts. It is your sole responsibility to: (1) control the dissemination and use of sign-in name, screen name and passwords; (2) authorize, monitor, and control access to and use of your CARE-WIZARD account and password; (3) promptly inform CARE-WIZARD if you believe your account or password has been compromised or if there is any other reason you need to deactivate a password. To send us an email, use the "Contact Us" links located at the bottom of every page of our site. You grant CARE-WIZARD and all other persons or entities involved in the operation of the Site the right to transmit, monitor, retrieve, store, and use your information in connection with the operation of the Site. CARE-WIZARD cannot and does not assume any responsibility or liability for any information you submit, or your or third parties' use or misuse of information transmitted or received using CARE-WIZARD tools and services.

Advertisements, Searches, and Links to Other Sites

CARE-WIZARD may provide links to third-party web sites. CARE-WIZARD also may select certain sites as priority responses to search terms you enter and CARE-WIZARD may agree to allow advertisers to respond to certain search terms with advertisements or sponsored content. CARE-WIZARD does not recommend and does not endorse the content on any third-party websites. CARE-WIZARD is not responsible for the content of linked third-party sites, sites framed within the CARE-WIZARD Site, third-party sites provided as search results, or third-party advertisements, and does not make any representations regarding their content or accuracy. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such sites. Indemnity

You agree to defend, indemnify, and hold CARE-WIZARD, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from: (a) your use of the Site, (b) any User Content you post or upload, (c) your use of or reliance on any User Content, or (d) your violation of these Terms and Conditions.

General

CARE-WIZARD is based in Massachusetts, in the United States of America. CARE-WIZARD makes no claims that CARE-WIZARD may be downloaded outside of the United States. Access to the Content may not be legal by certain persons or in certain countries. If you access the CARE-WIZARD from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

The following provisions survive the expiration or termination of this Agreement for any reason whatsoever: Liability, Indemnity, Jurisdiction, and Complete Agreement.

Jurisdiction

You expressly agree that exclusive jurisdiction for any dispute with CARE-WIZARD, or in any way relating to your use of the CARE-WIZARD Site, resides in the courts of the Commonwealth of Massachusetts and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the Commonwealth of Massachusetts in connection with any such dispute including any claim involving CARE-WIZARD or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers, and content providers.

These Terms and Conditions are governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of laws principles. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Notice and Takedown Procedures; and Copyright Agent

If you believe any materials accessible on or from the Site infringe your copyright, you may request removal of those materials (or access thereto) from this web site by contacting CARE-WIZARD's copyright agent (identified below) and providing the following information:

Identification of the copyrighted work that you believe to be infringed. Please describe the work, and where possible include a copy or the location (e.g., URL) of an authorized version of the work.

In an effort to protect the rights of copyright owners, CARE-WIZARD maintains a policy for the termination, in appropriate circumstances, of subscribers and account holders of the Site who are repeat infringers.

Complete Agreement

Except as expressly provided in a particular "legal notice" on the CARE-WIZARD Site, these Terms and Conditions and the CARE-WIZARD Privacy Policy constitute the entire agreement between you and CARE-WIZARD with respect to the use of the CARE-WIZARD Site, and Content.

CARE-WIZARD Privacy Policy

CARE-WIZARD understands how important the privacy of personal information is to our users. This Privacy Policy will tell you what information we collect about you and about your use of CARE-WIZARD and its services. Emails You Send to CARE-WIZARD

If you want to keep content or business information, ideas, concepts or inventions private or proprietary, do not send them in an email to CARE-WIZARD.

Services and Device Information

When you access and use the Services, CARE-WIZARD automatically collects and stores in its server logs information from your browser or mobile device such as your IP address or unique device identifier, browser information (including referring URL), your preferences and settings, cookies and information about the content you have viewed and actions taken (e.g., search queries, ad engagement, clicks and the associated dates and times).

Companies and Contractors that Work with CARE-WIZARD

CARE-WIZARD works with third party companies and contractors that help us provide the Services and to otherwise assist in the operation of the CARE-WIZARD Sites and Apps, including those that provide services relating to technology, data analysis, research, email management and deployment, advertising and marketing and/or content. If you are in the United States, we may also partner with certain service providers to better understand your experience on the CARE-WIZARD Sites, including technology that enables us to review and optimize the Services based on your interactions with certain pages (e.g., how much time you spend on which pages, which links you choose to click, what you do and don’t like, etc.) in an aggregated format. CARE-WIZARD contractors sometimes have limited access to your information in the course of providing products or services to CARE-WIZARD. We contractually require that our contractors not use or disclose your information for any purpose other than providing the limited service or function for CARE-WIZARD.

Third Party Advertisers and Third Party Websites

We may share information that we have about you, such as a cookie ID or IP address, with third party advertising service providers who may use this information, on our behalf, to help CARE-WIZARD deliver advertising on the CARE-WIZARD Sites as well as on third party websites, as further described in our Cookie Policy.

Certain content, services, and advertisements offered to you through the CARE-WIZARD Sites are served on, or contain links to, websites hosted and operated by a company other than CARE-WIZARD ("Third Party Websites"). CARE-WIZARD does not share your personal information with these Third Party Websites without your consent, but you should be aware that any information you disclose to these Third Party Websites once you access these Third Party Websites is not subject to this Privacy Policy. CARE-WIZARD does not endorse and is not responsible for the privacy practices of these Third Party Websites. You should review the privacy policy posted on the Third Party Website to understand how that Third Party Website collects and uses your information. CARE-WIZARD makes an effort to make it obvious to you when you leave a CARE-WIZARD Site and enter a Third Party Website.

We may also include social widgets on the CARE-WIZARD Sites which enable you to interact with the associated social media services, e.g., to share an article. These widgets may collect browsing data which may be received by the third party that provided the widget, and are controlled by these third parties. You may be able to manage your privacy preferences directly with the applicable social network platform.

Compliance with Law, Regulation, and Law Enforcement Requests

To cooperate with government authorities and law enforcement officials and private parties to enforce and comply with law, we may release personal information to third parties: (1) to comply with legal requirements such as a law, regulation, search warrant, subpoena or court order; (2) when we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request; or (3) in special cases, such as in response to a physical threat to you or others, to protect property or defend or assert legal rights. In addition, we may disclose personal information as described below.

How Your Information is Secured and Retained

We take reasonable security measures to protect the security of your personal information. Despite CARE-WIZARD's efforts to protect your personal information, there is always some risk that an unauthorized third party may find a way around our security systems or that transmissions of your information over the Internet may be intercepted.

The security of your personal information is important to us. When you enter personal information (including personal health information in various Services), we encrypt the transmission of that information or use SSL connections (Secure Socket Layer) technology.

We will retain your personal information as long as your account is active or as needed to provide you Services. At any time you can remove your personal information or instruct us to remove it, but you should be aware that it is not technologically possible to remove each and every record of the information you have provided to CARE-WIZARD from our servers. See “Your Choices and Rights” below for more information on how you can update or remove your personal information. We will also retain your personal information as necessary to comply with legal obligations, resolve disputes and enforce our agreements.

Updating/Removing Your Personal Information

If you do not want your personal information used by CARE-WIZARD as provided in this Privacy Policy, you should not use the CARE-WIZARD Sites, Apps, and Services. You can correct, update or review personal information you have previously submitted by going back to the specific Service, logging-in and making the desired change.

If you have registered and desire to delete your registration information you have provided to us from our systems, you can go to the 'Unsubscribe' link of the 'Admin' section of the CARE-WIZARD website. You should be aware that it is not technologically possible to remove each and every record of the information you have provided to the CARE-WIZARD Sites from our servers.

You can unsubscribe from an email newsletter by following the directions included at the bottom of the newsletter and using the “Unsubscribe” link found in the emails.

Cookies

Most browser software can be set to reject Cookies. Most browsers offer instructions on how to reset the browser to reject Cookies in the "Help" or “Settings” or “Preferences” section of your browser’s toolbar. Refer to our Cookie Policy for additional information about opting out of Cookies.

Children

We are committed to protecting the privacy of children. The CARE-WIZARD Sites are not designed or intended to attract children under the age of 13. The CARE-WIZARD Sites do not collect personal information from any person we actually know is under the age of 13. A parent or guardian, however, may use CARE-WIZARD Health Manager to establish a personal health record and a CARE-WIZARD Health Manager home page for a minor. The parent or guardian is solely responsible for providing supervision of the minor's use of CARE-WIZARD Health Manager. The parent or guardian assumes full responsibility for ensuring that the registration information is kept secure and that the information submitted is accurate. The parent or guardian also assumes full responsibility for the interpretation and use of any information or suggestions provided through CARE-WIZARD Health Manager for the minor

Note to Users Outside of the United States

CARE-WIZARD and our technical infrastructure are located in the United States. The personal information that you provide to us is stored on servers located in the United States. If you are located in another jurisdiction, you should be aware that in order to provide the Services to you, we must transfer your personal information to the United States where it will be stored and processed in accordance with this Privacy Policy. We may transfer your information outside the United States to service providers with operations in other countries. By using the Services, you consent to such collection, storage and processing in the United States and elsewhere, though the United States and other jurisdictions may not afford the same level of data protection as considered adequate in your own country. We will take reasonable steps to protect your personal information. Note that your personal information may be available to the United States government or its agencies under legal process made in the United States.

We will retain your personal information for as long as necessary to provide the Services to you and fulfill the purposes described in this Privacy Policy. This is also the case for third parties within whom we share your information to perform services on our behalf. When we no longer need to use your personal information and there is no need for us to keep it to comply with our legal or regulatory obligations, we will either remove it from our systems or anonymize it. If you have registered with CARE-WIZARD and you no longer want us to use your registration information to provide the Services to you, you may close your account.

Changes to this Privacy Policy

We reserve the right to change or modify this Privacy Policy and any of our Services at any time and any changes will be effective upon being posted unless we advise otherwise. If we make any material changes to this Privacy Policy we will notify you by means of a notice on the CARE-WIZARD Sites and/or by email to our registered users (sent to the email address specified when you register) prior to the change becoming effective. By continuing to use the Services after changes are made to this Privacy Policy, you agree to such changes. CARE-WIZARD Advertising Policy

CARE-WIZARD accepts advertising from third parties ("Advertisers"), which may include thirdparty banners, badges, contextual advertising and content created or provided by an Advertiser (collectively referred to as "Advertisements" or "Advertising"). In addition, as used in this policy, the terms "Advertising" and "Advertisements" include third party banners, modules, links, microsites, native advertisements and other content provided by or on behalf of Advertisers. The Advertiser is responsible for the accuracy and objectivity of their Advertising. The following guidelines have been established by CARE-WIZARD to govern various aspects of Advertising on CARE-WIZARD.

The guidelines in this policy govern issues like acceptance of Advertisements by CARE-WIZARD, how Advertisements are displayed on CARE-WIZARD, and the removal of Advertisements from CARE-WIZARD. CARE-WIZARD has sole and absolute discretion with respect to interpretation and enforcement of this policy and all other issues associated with Advertising on CARE-WIZARD. CARE-WIZARD may change this policy at any time in its sole discretion by posting a revised policy on CARE-WIZARD.

CARE-WIZARD has sole discretion for determining the types of Advertising that will be accepted and displayed on CARE-WIZARD, and under no circumstances will CARE-WIZARD's acceptance of any Advertisement be considered an endorsement of the product(s) and/or service(s) advertised or for the company that advertises, manufactures, distributes, or promotes the products or services.

CARE-WIZARD will not knowingly accept Advertising that, in CARE-WIZARD's opinion, is not factually accurate and in good taste.

There are certain categories of Advertisements that CARE-WIZARD will not knowingly permit on CARE-WIZARD at any time. These categories include but are not limited to the following:
- Illegal, 'objectionable', 'ineffective' and/or 'dangerous' products (CARE-WIZARD reserves the right to determine what is 'objectionable', 'ineffective' and/or 'dangerous'), fraudulent, deceptive, illicit, misleading or offensive material material that misrepresents, ridicules, discriminates (real or implied) or attacks an individual or group on the basis of age, national origin, race, religion, gender, sexual orientation, marital status, disability or any other status deemed inappropriate for CARE-WIZARD;
- alcohol;
- weapons, firearms, ammunition, or fireworks;
- gambling;
- pornography or related themes;
- tobacco use of any kind;
- the simulation of news or an emergency;
- material that directly advertises products to or is intended to attract children under the age of 13;
- media or messages for or that reference "M" rated video games or content;
- unreasonable, unlikely or extraordinary product or service claims;
- media messages or imagery that strobe or flash;
- media or messages that contain unsubstantiated "miracle" weight loss or other exaggerated claims of cure;
- advertising units that mimic computer functions or deceptively indicate a computer or other function that would be reasonable to the average user to assume as a reason to click the unit.

CARE-WIZARD recognizes and maintains a distinct separation between Advertising and CARE-WIZARD's content. A click on an Advertisement may only link the end user to the Advertiser's site or to relevant sponsored content area on CARE-WIZARD.

CARE-WIZARD reserves the right to decide at any time in its sole discretion whether it will accept, reject, cancel, or remove Advertising from CARE-WIZARD. CARE-WIZARD cannot provide any assurances that Advertisements will perform without error on all platforms, including websites and mobile applications.

It is the Advertiser's responsibility to comply with all domestic and foreign laws and regulations applicable to its Advertising within CARE-WIZARD (and to include all legally required legends, disclosures and statements in such Advertising), including without limitation the current FDA guidelines for Direct to Physician (DTP) and Direct to Consumer (DTC) advertising. CARE-WIZARD will not monitor compliance with such laws and regulations. However, CARE-WIZARD reserves the right to review all Advertising for compliance with applicable laws and regulations and, if CARE-WIZARD becomes aware of any breach or potential breach of any applicable law or regulation or of these guidelines, CARE-WIZARD may remove the Advertising from CARE-WIZARD.

No Advertising on CARE-WIZARD shall include any pixels, tags, flash containers or any other type of information collection software code (any such pixel, tag, code or device a "Pixel") or shall place any beacons, cookies or other information collection devices on the browsers of users of CARE-WIZARD unless expressly approved in writing by CARE-WIZARD. If CARE-WIZARD approves the inclusion of a Pixel in an advertisement, then unless and only to the extent that such approval contains an express exception, (i) Advertiser may not use such Pixel to collect any personally-identifiable information (PII) with respect to any CARE-WIZARD user, (ii) no such Pixel can be flash or object based, (iii) the Pixel can be blocked and any cookie placed can be deleted by user browser settings, (iv) Advertiser will not link any non-PII that it collects to any PII that it may have from any other source and (v) Advertiser will not update any existing profile or create any profile in its database based on any data collected on the CARE-WIZARD site, including the fact that someone is a CARE-WIZARD user or any information derived from the information in the referring URL.
